Acceptance of the Terms of Service

Welcome to ChurchSpring (a.k.a. "we" or "us" or the "Company"). We are excited to have you as a member of the community. The following terms and conditions (collectively, these "Terms of Service") apply to your use of ChurchSpring including any content, functionality and services offered on or via ChurchSpring (the "Website"). The Terms of Service also include our Privacy Policy. We want to keep our relationship with you as lean and informal as possible, but please read the Terms of Service carefully before you start using ChurchSpring, because by using the Website you accept and agree to be bound and abide by these Terms of Service. Should you disagree with any of the provisions herein, you must leave the Website, but please let us know of any comments and suggestions you may have.

Changes to the Terms of Service and the Website

ChurchSpring reserves the right to update the Website and these Terms of Service from time to time, at our sole discretion and without notice. Any changes shall become effective immediately. Nevertheless, this document is public on ChurchSpring, and you will be able to track the changes for any new version. Your continued use of the Website following the publishing of updated Terms of Service means that you accept and agree to the changes.

Accessing the Website, Security and Privacy

We work hard to improve ChurchSpring, but we can't guarantee that the Website will be up and running 24/7. We also reserve the right to suspend or restrict access to some features to users. In any case, we will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period, nor for any data loss. To access certain features of the Website you have to register by entering your email and choosing a password as part of our security procedures. You must treat such information as confidential, not disclosing it to any third party. There is a password reset procedure in case you forget your password, but please notify us of any breach of security. We highly recommend you choose a strong password and you log out from your account at the end of every session. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. In the future, you may be asked to provide certain registration details or other information. As custom for internet websites, we reserve the right to disable any user account, at any time in our sole discretion for any or no reason, including, if in our opinion you have failed to comply with any provision of these Terms of Service. We use SSL encrypted browsing for all logged-in users, but we cannot guarantee that all use will be secure. We also do not guarantee that the Website or any content provided on the Website is error free. We manage your personal data according to our Privacy Policy.

Purchase of the ChurchSpring Service

If you agree to pay the fee for access to the applicable ChurchSpring Service, such fee will be charged by the company designated by ChurchSpring in accordance with the payment method you have chosen for your purchase. If you are paying by credit or debit card, by designating a card to be billed, you confirm that you are authorized to make such purchase and that you are the holder of such card. All prices stated on the ChurchSpring Websites are inclusive of any applicable sales taxes and fees.

Prices

ChurchSpring may change the price for the ChurchSpring Paid Service from time to time. Any price change will be communicated to you at least 14 days in advance. If you do not wish to be bound by such changed price you may terminate your subscription in accordance with the Section "Term and Termination". Your continued use of the service after the communication of such price change constitutes acceptance of the new price.

Automatic Subscription Renewal

Your subscription to the ChurchSpring Paid Service will automatically renew at the end of each subscription term unless you terminate your subscription prior to the end of such term. At renewal, the payment method you designated will automatically be charged our then-current fees for the applicable subscription.

ChurchSpring Managed Services — Additional Terms

ChurchSpring offers a suite of done-for-you and done-with-you digital services (collectively, "Managed Services"), including but not limited to Coaching, Website Management, Social Media Management, and Digital Ads Management. The following additional terms apply to all Managed Services subscriptions.

Minimum Commitment Period

All Managed Services subscriptions are subject to a minimum commitment period:

  • Monthly billing plans require a minimum commitment of six (6) consecutive months.
  • Annual billing plans require a minimum commitment of twelve (12) consecutive months.

No Cancellation During Minimum Commitment Period

You may not cancel your Managed Services subscription prior to the conclusion of your applicable minimum commitment period. Monthly plan customers may not cancel prior to the sixth monthly billing cycle; annual plan customers may not cancel prior to the conclusion of the initial twelve-month period.

How to Cancel

To cancel after fulfilling your commitment period, submit a written request to support@churchspring.com at least 30 days before your next renewal date, including your full name, church name, service(s) to cancel, and account email address.

No Refunds

All Managed Services fees are non-refundable, including initial enrollment charges, monthly/annual fees, and any partial-period fees after cancellation. ChurchSpring does not issue refunds or credits for unused portions of a subscription except where required by applicable law.

Disclaimer of Warranties, Limitations of Liability and Indemnification

Your use of ChurchSpring is at your sole risk. The service is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties of any kind, express or implied. We are not liable for damages, direct or consequential, resulting from your use of the Website, and you agree to defend, indemnify and hold us harmless from any claims, losses, liability costs and expenses arising from your violation of any third-party's rights or your use of the Website.

Term and Termination

This Agreement becomes effective when you create a ChurchSpring account and remains effective until terminated. You may cancel your subscription at any time by visiting your website settings area. ChurchSpring will not refund any remaining portion of subscription fees already paid. ChurchSpring reserves the right to terminate or suspend your account at any time for unauthorized use or violation of these Terms.

Intellectual Property

The ChurchSpring Service and all content provided through it is the property of ChurchSpring or its licensors, protected by intellectual property rights. The term ChurchSpring and all related names, logos, products, and slogans are trademarks of the Company and may not be used without express consent.

Mandatory Arbitration; Waiver of Class Action Rights

You and ChurchSpring agree that any dispute arising out of or relating to the ChurchSpring Service shall be determined by mandatory binding arbitration. You waive the right to a trial by jury and to participate in a class action. This arbitration provision shall survive termination of this Agreement. Applicable Iowa law shall govern, with the sole and exclusive venue in Rock Rapids, Iowa.
